Delegation of Duties and Responsibilities
*
1. APPOINTMENT
We the undersigned on behalf of the Applicant identified above appoint Emerging Markets Advisors Pty Ltd (ABN 58 667 313 251) (‘Emerging Markets Advisors or EMA’) of Suite 56, 30 Denison Street, Bondi Junction in the state of New South Wales, Australia to act on behalf of the Applicant in connection with the management of its Investment in Australia and to exercise the duties set out below provide the Applicant access to required institutional service providers, investment platforms and financial institutions required to manage the Investments. The applicant agrees not to circumvent, directly or indirectly, EMA to enter into any business transactions or agreements with any individual, firm, corporation, or entity introduced or made known to the Applicant by EMA, without the prior written consent of EMA.
2. INVESTMENT
In this document, ‘Investment’ means an investment:
a. that is or is intended to be (once it is acquired) held in the name of the Applicant, on behalf of the Applicant; and
b. EMA has accepted as an investment in respect of which EMA is willing to provide services to the Applicant.
3. DELEGATED DUTIES AND RESPONSIBILITIES
a. Administer any investments as instructed by authorised agent of the Applicant;
b. Apply for (including apply for or make an investment or additional investment in), sell, transfer, assign, redeem or otherwise dispose of an investment in accordance with, or in order to give effect to, an instruction from the Applicant or an authorised agent of the Applicant;
c. Provide personal information about the Applicant (including the Applicant’s Tax Identification Number) to an issuer, manager or administrator of an investment (‘Recipient’), whether within Australia or overseas, in connection with an Investment (including any identity verification requirements);
d. Receive any distributions, dividends or other income in connection with an investment, or the proceeds of any disposal of an Investment, and to direct any registry or administrator in respect of the Investment to pay any such amounts to a bank account held by EMA for processing before being transferred to the Applicant’s nominated bank account;
e. Exercise any voting right in respect of an Investment in accordance with, or in order to give effect to, an instruction from the Applicant or an agent of the Applicant;
f. Instruct the issuer of an Investment in respect of any corporate action relating to that Investment in accordance with, or in order to give effect to, an instruction from the Applicant or an agent of the Applicant;
g. Do any thing or execute any document that EMA considers necessary or convenient in order to give effect to anything in paragraphs a-f above;
h. At the Applicant’s cost, to stamp and register this delegation of duties and responsibilities where stamping of registration is required in order for this document to be an effective delegation of duties and responsibilities.
4. SUB-DELEGATION OF DUTIES AND RESPONSIBILITIES
a. EMA may delegate the exercise of its duties and responsibilities under this document to any person engaged (whether as employee or contractor) by EMA or any of its related bodies corporate (within the meaning of the Corporations Act 2001 (Cth)) having a position title including the word “Manager” (including any person acting in that position from time to time).
b. EMA may appoint one or more external authorised delegates to exercise any of its duties and responsibilities under this document and may revoke those appointments at any time.
5. VALIDITY OF ACTS
a. The Applicant declares that all acts, matters and things done by EMA (or its authorised delegates) in exercising duties and responsibilities under this document will be as valid and effective as if they had been done by the Applicant.
b. The Applicant agrees to ratify and confirm whatever EMA or its authorised delegates do in exercising their duties under this document, including anything done between the revocation of this document and such revocation becoming known to EMA.
c. Without limiting paragraph 5b, the Applicant agrees to sign any document that EMA reasonably requires in order to confirm to a third party that an Investment in respect of which EMA seeks to exercise the duties and responsibilities under this document is an Investment.
6. INDEMNITY
The Applicant indemnifies EMA against any liability, loss, costs, charges or expenses that EMA (or its authorised delegates) may sustain or incur as a direct or indirect consequence of the exercise of any of the delegated duties and responsibilities under this document.
7. GOVERNING LAW AND JURISDICTION
This delegation of authority is governed by the law in force in New South Wales, Australia. The Applicant submits to the non-exclusive jurisdiction of the courts of New South Wales.
